Board of Directors and Officers
The board of directors is elected by the HOA members. The board of directors is responsible for making important decisions, enforcing rules and regulations, managing finances, and maintaining the overall well-being of the community.
-
The board of directors has a fiduciary duty to act in the best interest of the association and its members. Their responsibilities include overseeing the association’s finances, making decisions regarding common areas and amenities, enforcing rules and regulations, and hiring and managing vendors or property management companies. The board also has the power to adopt rules and regulations, which must be reasonable and applied uniformly to all members of the association.
Effective communication and collaboration between the board and the members are crucial for the successful governance of our HOA.
ORS 94.644 (Edited here for relevance)

The statement, motion or decision to meet in executive session must be included in the minutes of the meeting.
* A contract or an action considered in executive session is not effective unless the board, following the executive session, reconvenes in an open meeting and votes to approve the contract or action, which must be included in the minutes.
* The meeting and notice requirements in this section may not be circumvented by chance or social meetings or by any other means.
* As used in ORS 94.640 and this section, “meeting” means a convening of a quorum of members of the board of directors at which association business is discussed, except a convening of a quorum of members of the board of directors for the purpose of participating in litigation, mediation or arbitration proceedings.
