Hello Riverbank HOA Members,
The Riverbank HOA Board is meeting at the Riverbank HOA Clubhouse on October 8, 2025, at 6:30pm. We have 3 more Regular Board Meetings this fiscal year and then the Annual Meeting in May 2026. During the Annual Meeting you will elect a new Board to replace 3 of the Board members with expiring terms. We'd like to use these 3 Board meetings as an opportunity for HOA Members to observe the Board meetings so they can decide if this volunteer leadership role is right for them. As a reminder, our By-Laws require 5 Board Members to run the HOA. If you are not able to attend the meeting, but want to explore Board Leadership, please contact any of your Board Members.

We need a quorum of at least twenty-one households to conduct business. Our May meeting was postponed because we did not reach a quorum through RSVP Attendance or Proxies. Thank you all who sent your proxy or emailed back an RSVP. Because of the date change and the agenda change, we’ll need new Proxies for this meeting. Attend in person or via written proxy. Your participation is crucial for electing a Board so that we can pay bills and vote on next year's budget.
HOA Membership
The Board will present VF-Law's legal opinion on HOA membership. Historically, 41 members have paid dues. assessments and fees for over 40 years. Recently, a member challenged their legal membership, causing issues that left us without a Board and many questions. Last year, a new Board was elected, and it was decided to seek legal clarity on membership which is central to collections, budgets, reserves, and assessments. At the annual meeting, we will review the legal opinion, address FAQs, and vote on paying the remaining bill.

Insurance Bill
Our insurance coverage cost (see the policy on our website: www.myriverbank.org) is higher than the amount allowed in the By-Laws for the Board to automatically pay. In lieu of only updating the By-Laws for this issue, the Board will be asking the membership to vote on automatic payment of this bill until it exceeds +10% of the current 2025-2026 bill.
Board of Directors
There are two open positions on the Board of Directors. If you or anyone you know would like to serve as a board member for two years, please inform us. Currently, the remaining Board members are Liz Hammack, Sue Barton-Venner, and Gordon Rabing, each with one year left in their terms. Chris Seigneur has offered to continue serving and will be on the ballot. Please submit all nominations by July 20 so we can prepare the ballots for the meeting. Next Year Focus
The Board will seek the Membership's priorities for next year, such as updating governing documents, asset upkeep, collections rules, and new HOA rules. This will be discussed in an open forum, with one person speaking at a time. These ideas will be shared with those not attending before the first Board Meeting of the fiscal year on July 30 or 31.

If you plan to attend the meeting, please RSVP by sending an email to the Board at theboard@myriverbank.org. If you are unable to attend the Annual Meeting, please find attached a proxy form for you to complete. There are two parts to the proxy: Part 1 is for the Bill Payment for Insurance and Legal Fees and Part 2 is to assign someone to vote on your behalf for the election of members to the BOD. You can either assign your proxy to the Riverbank HOA Board of Directors or to someone else in the neighborhood. Please, make sure that person will be attending the meeting.

HOA Members,
The Annual meeting scheduled for Tuesday May 21, 2025 at 7:00 is being postponed to a date yet to be determined. We did not receive enough RSVPs and proxies to reach a Quorum to conduct the meeting, and we are also waiting for the final report from the lawyer on the HOA Membership Questions.

We will still be seeking 2 nominations for Board positions in the meeting, so please consider volunteering to serve on the Board.

This document has been sent to each Riverbank HOA "members" (September 22, 2024)
Dear Riverbank Neighbors,
We have certainly had some challenges this year getting a Board of Directors assembled for the Riverbank Home Owners Association. As we started this fiscal year our intentions were to seat a full board (5 members), to codify and distribute collection rules for the HOA, develop a budget for ’24-’25 fiscal year, maintain the clubhouse, grounds and newly refreshed courts and propose a pathway for new members in the RRWD (Riverbank-Riverbend Water District) to participate in our Riverbank community.
This is where we have made progress :
- The courts are secure, rules are posted and only members have access to the courts.
- An address was secured for the HOA, 31165 SW River lane Rd West Linn, OR 97068 and a mailbox has been installed.
- An insurance carrier was able to write a policy on the HOA assets (clubhouse and courts) and the HOA Board of Directors (BOD) insurance. Both coverages are in place for this fiscal year.
- A full BOD was voted in: Steve Houseworth and John Carnathan by the HOA members and Liz Hammack, Phil Rouse and Sue Barton-Venner by the BOD during a Board meeting. Thinking we had a full BOD, we proceeded to prepare and approve a budget and agenda for the fiscal year.
- A draft Collections process has been prepared, but not approved.
- New Membership structures have been researched (informal HOA and Neighborhood Association), but nothing has progressed on this research.
- We have a social committee that has hosted monthly Happy Hours and the Summer picnic so that the community has opportunities to socialize, meet new neighbors and share great stories.
- All Board Meetings have been communicated and documented and published on the HOA website Myriverbank.org for your reference.
This is where we have had challenges:
- The By-Laws and Declarations were not followed when voting in the full BOD; so now we are in the process of assembling a FULL (5) candidates for the ballot we will vote on in the October 14, Special Meeting (or by proxy).
- The BOD got ahead of ourselves thinking we had a full BOD, and voted in a new budget which did not raise the HOA dues this year. There are several assumptions made in the budget which are turning out to be incorrect.
- At one of the Collections process meetings, a homeowner challenged their membership in the HOA. This was easily researched with the Clackamas County. Two departments declared they could find no documents placing this property as part of Riverbank HOA. The “overdue” dues and assessments cannot be collected for this property and this was communicated to the homeowner.
- HOA membership “runs with the land”. HOA mandatory membership only occurs when the title (deed) for the property in question is Subject to the Covenants, Conditions, Restrictions and Easements set forth in the Riverbank HOA documents filed with Clackamas County. Specifically for Riverbank HOA, these would be the following: Recording Date: December 3, 1973 Recording No. 73-037271 and the following amendment(s)/Modification(s) : February 6, 1976 76-003960 and June 27, 1984 84-021739 and Transfer to Riverbank HOA June 3, 1996 96-039884 (if you purchased after this date). These documents are on the HOA website at Myriverbank.org for your reference. These CC&Rs should not be confused with the RRWD CC&Rs which are also in your title (deed) but were separated from each other in 1984.
- The BOD continued to research the membership for Riverbank HOA and was prepared to discuss this at a special meeting and distribute a complete summary to the 41 homeowners currently on the HOA list. However, due to several issues, this membership information has only been informally shared with some HOA members. Many members have also done their own research with their title companies. Here is the outcome of the research:
- Only Riverbank (Lots 1-10 and the Condos) are legal (mandatory)members of the Riverbank Home Owners Association. Lot 11 appears to have been included in the Platting of Riverbank No.3 and the conservation easements across the Riverbank lots.
- All Riverbank No. 2 are legal (mandatory) members of the Riverbank Home Owners Association.
- Presently there is no recorded documentation that has added the following properties to the Declarations : Riverbank No3, Lot 11 Riverbank, one lot on Hebb Rd and lots inside Riverbank No.2 not in the Plat. Until we can find the documentation that supports their inclusion in the HOA they are not legal (mandatory) members of the Riverbank Home Owners Association. These are noted as “Informal” Members on the attached list.

We know of 3 owners in Riverbank No. 3 who have looked at their Title (Deed) and there is no reference to the Riverbank HOA, just a Peach Cove HOA. A Title Company has declared, “We find no recorded documents placing your property in the Riverbank Homeowners Association”

One Lot in Riverbank No.3 has a document in their title filed in 1996-039884 Agreement for Transfer where the Hebb Family Management Trust agreed to transfer the rights and powers to the HOA. In handwriting on the document it refers to Plats: Riverbank and Riverbank No.2 only, recorded as 73-37271. There is no reference to the documents for the HOA listed above in their deed.

There has been no mechanism for the current 2 Board Members to formally bring up membership Questions to the HOA (1) Which homes are mandatory (legal) members of the HOA (2) Which are informal members of the HOA (3) Determine if there is a reasonable path forward to add members to the HOA?(4) How to document the OPT Out of any Informal members?

Both of our current Board Member homes are not Mandatory HOA Members and seek a transition from these roles to others who live in Riverbank and Riverbank No.2 at the next Special Meeting on October 14, 2024.

Only 2 of the volunteers for the Board are Homeowners in Riverbank and Riverbank No.2, Liz Hammack and Sue Barton-Venner. We need to have at least 3 more volunteers from Riverbank and Riverbank No.2 step forward so the HOA Members can vote.

HOA Members on the “Mandatory” HOA Membership list are attached for your reference. Please attend the October 14 Special meeting at 7:00pm at the Clubhouse or return your proxy. We will send out both paper and Adobe e-signature proxies to all these addresses.

HOA Members on the “Informal” HOA member list can help us by reviewing and filling out the “OPT OUT FORM” attached. This form is ONLY for the addresses listed. We will send out email and e-signature proxies to any informal member who does not OPT OUT of voting or OPT out of the HOA as an informal member.

Technically, the HOA does not have an “official” approved budget. Once the Board is installed a new budget will be created and communicated to HOA members and anyone not Opting Out of the HOA.

NEW MAILING ADDRESS (6/27/24)
You may have noticed a new mailbox in front of the Clubhouse … well that new mailbox is the new Riverbank HOA mailbox.
Your new Board successfully requested a mailing address, received it, confirmed with the West Linn Post Office, and, thanks to John C and Bob R, installed a mailbox.
We suppose you will want to drop off any correspondence at the new secure mailbox. It will be received. Our old PO Box will forward mail to this new address.

BOARD MEETING SUMMARY (6/25/24)
We have a really good mix of Homeowners on our Board now. Lots of discussion and lots of progress. The June 25, 24 Board meeting had 7 Homeowners in attendance and all five Board Members. As planned, we all worked through the Collections Protocol document - line by line. The Draft document is being cleaned up reflecting the changes made in this Board meeting.
SPORT COURT HAS LOCKS ON IT (6/24/24)
In the short amount of time our Sport Court has been open, there have been several non-members using/attempting to use the Sport Court. On one hand, no big deal, but on the other hand we pay for this Sport Court and they don't and, of equal importance, is the significant insurance liability if we allow non-member to access the Sport Court. Hence the locks.

WE NOW HAVE 5 BOARD MEMBERS (6/22/24)
At the June 21st special Board Meeting we had 9 homeowner attend and three of them Homeowners volunteered to be on the Board. The meeting was dedicated to the Budget. We had a lively conversation with special concern about rising Common Area insurance coverage. The Budget is quite tight (due to those who have not paid their fair share) but we did vote on and PASS the 2024-25 Budget WITHOUT raising Homeowner dues!

SPORT COURT UPDATE (6/10/24)
The process to paint the sport courts has begun.
While the contractor is working the sport courts will be off limits.
The Sport Court has has its surface (and colors) layed. The next step is to paint the lines and then after a few day it will be open! Hopefully soon.
BOARD MEMBERS NEEDED
We seriously need a few homeowners to step up an become Board Members. Presently we have two Board Members we want at least 3 but actually prefer 5. Being on the Board involves 4 to 6 meetings a year and is about how we spend "our" money and making decisions in the interest of the homeowners. Your input as a Board Member helps us better represent the wishes of the homeowners. Board Meetings involve following an meeting "Agenda", being informed and voting of issues that require a vote. SPORT COURT UPDATE (5/10/24)
The process to resurface the sport courts has begun.
While the contractor is working the sport courts will be off limits.
NO ADMITTANCE!
The gates will be locked shut when they are not working.
The plan is clean, fill the cracks in the surface and then wait 2 or 3 days for the base to cure. Then a couple days to put on the top coats and let them cure. Then put the lines down and the project will be finished.

Two neighbors donated a brand new play structure. Helpers, kids and food abound. A wonderful addition to our community and Thank YOU!

A second piece of sunshine showed up with the warm weather. The workers hope to get the Sport Court Done as soon as possible, (weather permitting).
WOOD CHIP SPREADING PROJECT COMPLETED (2/24
The turnout was amazing. Members willing to do a little labor helps us keep the yearly dues low and our common area presentable. 46 cubic yards of chips were spread. Special THANKS to Dick Hanson and Chris Seigneur for the use of their tractors.
PAVING STONE PROJECT (11/29/23)
The paving stone path has been cut out and sand has been placed for the base. Paving stones have been delivered and are stacked at the site. Gravel has been delivered. The project has the components needed to lay the stones. (See picture on right) Waiting on a) weather and b) an agreed upon time where a volunteer crew can start laying stones.
SPORT COURT UPDATE (9/25/23)
The Sport Court project (cracks, painting, etc) was contracted to be completed by the end of September. However, though some cracks have been filled, it appears the project will not resume or be completed until later next year when the weather allows.
WOOD CHIP PROJECT (2/5/2024)
The turnout was amazing. Members willing to do a little labor helps us keep the yearly dues low and our common area presentable. WE HAD SO MANY PEOPLE SHOW UP THE JOB GOT DONE IN A LITTLE OVER AN HOUR. 46 cubic yards of chips were spread. Special THANKS to Dick Hanson and Chris Seigneur for the use of their tractors.
PAVING STONE PROJECT (9/23/23)
There was a concrete walkway behind the clubhouse that crumbled due to tree root damage and age. As phase 1 of this repair/replace project, a workgroup of HOA volunteers removed the old concrete. Phase 2 involved getting paving stones (donated by an HOA member) moved to the site, getting sand and a yard of gravel delivered. And, on September 23, 23, five HOA volunteers cleaned up the site and lay the gravel footprint in preparation of setting the stones. THANK YOU to all of our volunteers! Phase 3 will get the stones down.
SUMMER PICNIC (9/14/23)
Our HOA Summer Picnic was a great success. Thanks to our Board for putting it all together. Thanks to those who helped set things up. Thanks to Derek for being our cook! Good food. Good times. A great way to connect with our neighbors. (See picture below)

SPORT COURT UPDATE (7/1/2023)
Your HOA Board working with the contractor have come up with the design and color scheme below.
We will have a full basketball court and tennis court with lines for two pickle ball courts.
We are only going to buy one portable pickle ball net to start. Your payments have made it possible to get this work done this year.
